This website is operated by Reformed Film Lab. Throughout the site, the terms “we”, “us” and “our” refer to Reformed Film Lab. Reformed Film Lab offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

Introduction

Please read these Terms of Service (“Terms”) carefully as they contain the legal terms and conditions that you agree to when you use the film photography services provided to you by Reformed Film Lab (collectively, the “Service”).

 

  1. Operator
  2. This Service is operated by Reformed Film Lab.  A company under the laws of the State of Florida. Reformed Film Lab is also referred to in these Terms as “we” and “us”.
  3. Purpose of the Service
    Reformed Film Lab offers analog & digital photography services that provide the ability to view, share, and store and print digital images through a range of electronic devices including personal computers and hand-held devices.
  4. Backup your data
    Reformed Film Lab states that you maintain a backup copy of all images and content such that in the event of a catastrophic data loss, your images will be also be available on your local computer or archived media. The download or upload of any material through the service is done at your own discretion and risk and that you will be solely responsible for any loss or damage to your content or image or any damage to your computer system or loss of data that may result in the download or upload of any material. You are solely responsible for creating back-ups of your digital content. We are not an image backup or long term storage service provider. You should always keep backup copies of your photos stored safely on a device or service specifically designated and intended for backup purposes.
  5. Availability
    Reformed Film Lab uses reasonable endeavors to ensure that the Service is available 24 hours a day 7 days a week. However, there will be occasions when the Service will be interrupted for maintenance, upgrades and emergency repairs or due to failure of telecommunications links and equipment that are beyond the control of Reformed Film Lab. Every reasonable step will be taken by Reformed Film Lab to minimize such disruption where it is within the reasonable control of Reformed Film Lab. You agree that Reformed Film Lab shall not be liable to you for any modification, suspension or discontinuance of the Service.
  6. Privacy
  7. Reformed Film Lab has a firm commitment to safeguarding your privacy. The terms of Reformed Film Lab privacy policy are incorporated into, and considered part of, these Terms.
  8. Trademarks
  9. All brand, product and service names used in this Service which identify Reformed Film Lab and their products and services are proprietary marks of Reformed Film Lab, and/or the relevant third parties. Nothing in this Service shall be deemed to confer on any person any license or right on the part of Reformed Film Lab or any third party with respect to any such image, logo or name.
  10. Copyright
  11. Reformed Film Lab is, unless otherwise stated, the owner of all copyright and database rights in the Service and its contents. You may not publish, distribute, extract, re-utilize or reproduce any such content in any material form (including photocopying or storing it in any medium by electronic means) other than in accordance with the limited use license set out in our copyright notice.
  12. Reporting Violations of Your Copyrights
  13. If you believe the copyright in your work has been violated through this Service, please contact Reformed Film Lab at mike@reformedfilmlab.com You must provide the following information, which Reformed Film Lab may then forward to the alleged infringer:
  14. (a) identify the material on the Service that you believe infringes your work, with enough detail so that we may locate it on the Service;
  15. (b) provide your address, telephone number, and email address;
  16. (c) provide a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  17. (d) provide a statement that (i) the information you have provided to us is accurate, and (ii) you are the owner of the copyright interest involved or you are authorized to act on behalf of that owner; and
  18. (e) provide your physical or electronic signature. Upon receiving your complaint, Reformed Film Lab may remove content that you believe infringes your copyright. In addition, Reformed Film Lab may terminate the account of the member who appears to be infringing your intellectual property rights.

  20. From time to time Reformed Film Lab may provide links that will take you to other, third party websites. These links are provided for your convenience. If you decide to access linked websites you do so at your own risk. Reformed Film Lab does not endorse or take responsibility for the content on other websites or the availability of other websites and you agree that Reformed Film Lab is not liable for any loss or damage that you may suffer by using other websites.
  21. Amendment of the Terms
  22. We reserve the right to amend these Terms from time to time. If you have registered as a member, we shall notify you of any material changes to these Terms by email sent to the address you have provided to Reformed Film Lab for your account. If you continue to use the Service once you have been notified of the changes to these Terms, you will be deemed to have accepted those changes.
  23. Applicable Law and Jurisdiction
  24. These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the state and federal courts of the State of Florida.
  25. General
  26. These Terms constitute the entire agreement between Reformed Film Lab and you with respect to your use of the Service. Reformed Film Lab’s failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision. If a court should find that one or more rights or a provision contained in these Terms is invalid, you agree that the remainder of the Terms shall be enforceable.

  29. INTERNET BASED SERVICES (INCLUDING DOWNLOADING OF FILM SCANS) The uptime and accessibility of internet based services is not guaranteed. Reformed Film Lab will not accept liability for any failure of any internet based services as a result of computer system failure, internet failure, software bugs, computer viruses, software or hardware breakdown, incompatibility of Reformed Film Lab’s internet based services with any third party software being used by the Client, or for any other reason outside of Reformed Film Lab’s reasonable control. The Client shall be responsible for maintaining the confidentiality of all passwords for access to internet based services, and Reformed Film Lab will not accept any liability for lost or stolen passwords, or for any unauthorized access to the Client’s digital data held on any internet based service. Reformed Film Lab will not accept any liability to manage any data being stored and it is the responsibility of the Client to manage their data. If the Client uses Reformed Film Lab’s internet based services to edit, retouch, and/or manipulate digital data, Reformed Film Lab will not accept any liability for any resulting loss of digital data.
  30. Registration
  31. To purchase from or register as a member of the Service you must be 18 years or over.
  32. You agree that the information that you provide to us on registration and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times. This is especially important with respect to your email address, since that is the primary way in which we will communicate with you about your account and your orders.
  33. Password
  34. When you register as a member you will be asked to provide a password. As you will be responsible for all activities that occur under your password, you should keep your password confidential. You must notify Reformed Film Lab immediately of any unauthorized use of your password or if you believe that your password is no longer confidential. We reserve the right to require you to alter your password if we believe that your password is no longer secure.
  35. Formation of a Binding Contract
  36. No contract will exist between you and Reformed Film Lab for the supply of any services or products unless and until Reformed Film Lab accepts your order by a confirmatory e-mail, SMS/MMS message or other appropriate means of communication.
  37. Pricing and Delivery
  38. All prices are stated in US dollars and are valid until altered by us. Prices do not include delivery charges or any import duties that may be added by the order destination country. Shipping charges will be added to your order during the checkout process. Any dates specified for delivery of any products are intended to be an estimate only.
  39. Copyright in Your Images
  40. Reformed Film Lab does not claim ownership rights in any image contained in your account. For the sole purpose of enabling us to display your images through the Service and fulfilling any orders for you or those you have shared your images with, you grant to Reformed Film Lab a non-exclusive, royalty-free license to use, copy, distribute, and display those images. Please note that when you share images, you allow the recipients to share and make photographic prints from those images.
  41. Conduct
  42. You are responsible for all of the images you upload, share or copy using the Service. You must have the legal right to copy and display each image that you upload, share or print. Professional images that are provided to you by professional photographers or made available through websites, magazines, books or other resources, are protected by copyright and should not be uploaded, shared or copied using the Service.
  43. You agree not to use the Service:
  44. a. for any unlawful purposes;
  45. b. to upload, post, order for print, order for film scans, email or otherwise transmit or communicate any material that is obscene, offensive, blasphemous, pornographic, unlawful, threatening, menacing, abusive, harmful, an invasion of privacy or publicity rights, defamatory, libelous, vulgar, illegal or otherwise objectionable;
  46. c. to upload, post, order for print, email or otherwise transmit or communicate any material that you do not have a right to transmit or communicate under any contractual or fiduciary relationship or which infringes any copyright, trade mark, patent or other intellectual property right or any moral right of any party including, but not limited to Reformed Film Lab;
  47. d. to harm minors in any way, including, but not limited to, content that violates child pornography laws, child sexual exploitation laws and laws prohibiting the depiction of minors engaged in sexual conduct;
  48. e. to forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Service;
  49. f. to upload, post, email or otherwise transmit any material which is likely to cause harm to Reformed Film Lab or anyone else’s computer systems, including but not limited to that which contains any virus, code, worm, data or other files or programs designed to damage or allow unauthorized access to the Service which may cause any defect, error, malfunction or corruption to the Service;
  50. g. to make images hosted by Reformed Film Lab available for viewing by the general public through a publicly posted link to the image or otherwise;
  51. h. for any commercial purpose.
  52. You further agree that you shall not:
  53. a. interfere with or disrupt (or attempt to interfere with or disrupt) this Service or servers or networks connected to this Service, or to disobey any requirements, procedures, policies or regulations of networks connected to this Service; or
  54. b. provide any information to Reformed Film Lab that is false or misleading, that attempts to hide your identity or that you do not have the right to disclose.
  55. Monitoring of Content
  56. Reformed Film Lab does not control the content of members’ accounts and does not have any obligation to monitor such content for any purpose. You acknowledge that you are solely responsible for all content and material you provide to the Service.
  57. Suspension and Termination of Access and Membership
  58. You agree that Reformed Film Lab may at any time without notice:
  59. a. refuse to accept your application to become a member of Reformed Film Lab;
  60. b. move or suspend any part of the Service; or
  61. c. refuse to fulfill any order, or any part of any order or terminate your account and delete any content stored in your account if, in Reformed Film Lab sole discretion, you fail to comply with any of these Terms or if a competent regulatory authority requires Reformed Film Lab to do so.
  62. FORCE MAJEURE  Reformed Film Lab shall not be liable for any delay in performing or failure to perform its obligations here-under to the extent that such delay or failure results from any cause or circumstance beyond its reasonable control, including without limitation any inability of Reformed Film Lab to secure labor, materials, supplies or transport, scarcity of fuel, power or components, breakdown of machinery, fire, storm, flood, acts of God, internet failure, war, civil disturbance, strikes, lockouts or industrial action (each an “event of force majeure”). If any event of force majeure occurs, the date(s) for performance of Reformed Film Lab’s affected obligation(s) shall be postponed for as long as is made necessary by the event of force majeure. If any event of force majeure continues for a period of or exceeding 60 days, the Client may cancel the affected order (or the affected part(s) of it) by written notice to Reformed Film Lab.
  63. GENERAL Reformed Film Lab reserves the right to change opening or operating times. Time shall not be of the essence with respect to the performance of any of Reformed Film Lab’s obligations here-under. The Client may not assign, sub-license or sub-contract any of its rights or obligations under these Terms of Business without the prior written consent of Reformed Film Lab.  No person shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms of Business.  These Terms of Business constitute the entire agreement and understanding between the parties with respect to their subject matter and supersede any prior agreement, understanding or arrangement between the parties, whether oral or in writing, with respect to the same. No representation, undertaking or promise shall be taken to have been given or be implied from anything said or written in communications between the parties except as set out in these Terms of Business. Neither party shall have any remedy in respect of any untrue statement made to it upon which it has relied (unless such untrue statement was made fraudulently) and that party’s only remedies shall be for breach of contract as provided in these Terms of Business.
  64. Damaged Film Received Policy. Any film received by the lab that is damaged prior to its arrival may not be able to be processed. When developing, if the roll of 35mm has torn sprockets, there is a chance we will be unable to scan or develop the roll. In these instances, we will reach out to the client. Additionally, because of the limitations of our developers, bulk-loaded rolls that are longer than 38 frames may need to be cut before developing and the client may therefore lose a frame.
  65. Blank Roll Policy If a roll of film is properly developed, but there are no detectable images to be scanned, Reformed Film Lab reserves the right to offer no refunds.  On good faith, we may issue a partial store credit for the scanning costs.  The charges for film processing still applies.  We also reserve the right to dispose of blank negatives and not return them with the remainder of your order.
  66. Rescans of Film Policy. Reformed Film Lab offers rescans of film subject to additional client payment. A new order can be placed on the website should a client request rescans of film processed by Reform Film Lab.
  67. Negative Storage Policy. Reformed Film Lab reserves the right to dispose of all unclaimed negatives after a period of six months.  We will make a best effort attempt to notify all customers via email of any negatives that need to be picked up or shipped.
  68. Undeliverable Negative and/or Print Policy. If prints or negative mailed out for a client order are returned to the lab by any shipping serviced utilized by Reformed Film Lab, the customer may request the order to be reshipped at the cost of a new shipping fee. Reformed Film lab is not responsible for any shipping company, such as UPS, USPS, or FedEx and any damage and/or delay to packages being sent to or from Reformed Film Lab.
  69. Disclaimer of Warranty and Limitation of Liability 
  70. Reformed Film Lab agrees that all services will be carried out with reasonable skill and care, and any goods supplied will be of satisfactory quality and reasonably fit for their purpose.
  71. THE SERVICE, Reformed Film Lab SITES AND ALL RELATED PRODUCTS AND SERVICES ARE PROVIDED BY Reformed Film Lab “AS IS” WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE EXPRESSLY DISCLAIMED. TO THE FULLEST EXTENT PERMITTED BY LAW, Reformed Film Lab DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THIS SERVICE.
  72. YOU UNDERSTAND AND AGREE THAT THE SUBMISSION OF ANY DIGITAL CONTENT OR FILM IMAGE TO Reformed Film Lab, AND THE DOWNLOAD OR UPLOAD OF ANY MATERIAL THROUGH THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR CONTENT OR IMAGE OR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT MAY RESULT IN THE DOWNLOAD OR UPLOAD OF ANY MATERIAL. YOU ARE SOLELY RESPONSIBLE FOR CREATING BACK-UPS OF YOUR DIGITAL CONTENT. IN THE EVENT OF ANY LOSS OR, OR DAMAGE TO, YOUR FILM, Reformed Film Lab SHALL BE LIABLE ONLY FOR THE REPLACEMENT OF A LIKE AMOUNT OF UNEXPOSED FILM AND PROCESSING. IN THE EVENT OF ANY MISTAKE BY Reformed Film Lab , SUCH AS THE SHIPMENT OF A DEFECTIVE PRODUCT, Reformed Film Lab WILL BE LIABLE ONLY FOR THE COST OF THE ORDER.
  73. EXCEPT AS EXPRESSLY PROVIDED IN THE PRECEDING PARAGRAPH, TO THE FULLEST EXTENT ALLOWED BY LAW, Reformed Film Lab SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES RESULTING FROM THE USE OR PROVISION OF THE SERVICE, Reformed Film Lab SITE AND ALL RELATED PRODUCTS AND SERVICES, EVEN IF Reformed Film Lab HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DISCLAIMERS, WAIVERS AND LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Submitting any tangible or electronic media, image, data, file, card, disc, device, film, print, slide or negative for any purpose, such as processing, printing, duplication, alteration, enlargement, storage, transmission, or other handling, constitutes an AGREEMENT that any loss or damage to it by our company, subsidiary or agents, even though by our negligence or other fault, will only entitle you to replacement with an equivalent quantity/size of unexposed photographic film or electronic media. Except for such replacement, our acceptance of the media, image, data, file, card, disc, device, film, print, slide or negative is without other liability, and recovery for any incidental or consequential damages is excluded. No expressed or implied warranty is provided.

LIMIT OF LIABILITY AGREEMENT (Replacement of Media)

I (Customer) acknowledge and agree that my submitting any tangible or electronic media, image, data, file, card, disc, device, film, print, slide or negative to you for any purpose, such as processing, printing, duplication, alteration, enlargement, storage, transmission, or other handling, constitutes an AGREEMENT by me that any loss or damage to it by your company, subsidiary or agents, even though by your negligence or other fault, will only entitle me to replacement with an equivalent quantity/size of unexposed photographic film or electronic media, and processing of the replacement media. Except for such replacement, your acceptance of the media, image, data, file, card, disc, device, film, print, slide or negative is without other liability, and recovery for any incidental or consequential damages is excluded. I understand that no express or implied warranty is provided.

LIMIT OF LIABILITY AGREEMENT (Replacement of Media with Declared Value Option)

I (Customer) acknowledge and agree that my submitting any tangible or electronic media, image, data, file, card, disc, device, film, print, slide or negative to you for any purpose, such as processing, printing, duplication, alteration, enlargement, storage, transmission, or other handling, constitutes an AGREEMENT by me that any loss or damage to it by your company, subsidiary or agents, even though by your negligence or other fault, will only entitle me to replacement with an equivalent quantity/size of unexposed photographic film or electronic media, and processing of the replacement media, unless I have declared a higher value below, and have paid the premium for that value in advance. Except for such replacement, or payment of the declared value if applicable, your acceptance of the media, image, data, file, card, disc, device, film, print, slide or negative is without other liability, and recovery for any incidental or consequential damages is excluded. I understand that no express or implied warranty is provided.

LIMIT OF LIABILITY AGREEMENT (Replacement of Media plus Prints)

I (Customer) acknowledge and agree that my submitting any tangible or electronic media, image, data, file, card, disc, device, film, print, slide or negative to you for any purpose, such as processing, printing, duplication, alteration, enlargement, storage, transmission, or other handling, constitutes an AGREEMENT by me that any loss or damage to it by your company, subsidiary or agents, even though by your negligence or other fault, will only entitle me to 1) replacement with an equivalent quantity of unexposed photographic film or electronic media, 2) processing of the replacement media, and 3) the same number of prints from the next media submitted by me to you. Except for such replacement and prints, your acceptance of the media, image, data, file, card, disc, device, film, print, slide or negative is without other liability, and recovery for any incidental or consequential damages is excluded. I understand that no express or implied warranty is provided.

Additional Terms of Service


SECTION 1 - ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
